Welcome to Vusi Studios! The terms “we”, “us” and “our” refer to Vusi Studios Inc. We operate this store and website, including all related information, content, features, tools, products and services, to provide you (the “Customer”) with a curated shopping experience (the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the “Terms”), together with any policies referenced herein (including our Privacy Policy, Shipping Policy, Returns, Refunds, Exchanges, and Cancellations Policy, and Product Warranty Policy), describe your rights and responsibilities when using the Services.

By visiting, interacting with, or purchasing through the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use or access our Services.

SECTION 1 - ACCESS AND ACCOUNT

By agreeing to these Terms, you confirm you are at least the age of majority in your state or province of residence, and that you authorize any minors using the Services on devices you own or manage.

When purchasing from our store, you may be required to provide billing, payment, shipping, and contact details. You agree that all information you provide is accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Accounts may not be sold, transferred, or licensed to another person.

SECTION 2 - OUR PRODUCTS

We make every effort to accurately display and describe our products. However, colors, appearances, and product details may vary depending on device settings or manufacturing updates.

We do not guarantee that products will meet your expectations, and all descriptions, specifications, compatibility, pricing, and availability are subject to change at any time without notice.

We may discontinue products or limit sales by region or customer at our discretion. Product availability and destination restrictions are shown on the relevant product page or at checkout.

SECTION 3 - ORDERS

Placing an order constitutes an offer to purchase. Orders are accepted only after confirmation from us and successful payment processing.

We reserve the right to cancel or refuse any order for reasons including errors in pricing or product information, suspected fraud, or delivery restrictions. If an order is declined, we will attempt to notify you via the contact information provided.

Orders may be canceled only before they are processed for dispatch. Once an order has entered dispatch processing or has dispatched, it cannot be canceled and must follow our Returns, Refunds, Exchanges, and Cancellations Policy after delivery. A cancellation is not complete until we confirm it in the order system.

Purchases are for personal use only and not for unauthorized resale or export.

SECTION 4 - PRICES AND BILLING

Prices are subject to change without notice. The price charged is the price in effect at the time of order confirmation and does not include applicable taxes, shipping, handling, or customs fees, unless otherwise stated.

You agree to provide current, accurate payment details and authorize us to charge all applicable amounts, including taxes and shipping fees.

SECTION 5 - SHIPPING AND DELIVERY

Processing Time: Most orders are dispatched in an average of 2–5 business days. During high-volume periods, dispatch may take 3–4 weeks.

Product Lead Times: Every product page contains a Shipping Policy section showing the current lead time for that product. The product-page lead time is the most specific estimate and takes priority over the general average.

Delivery After Dispatch: Dispatch time is separate from carrier delivery time. Available delivery services and estimates are shown at checkout, in the shipping confirmation, or through the carrier’s tracking information.

Dispatch and delivery times are estimates only and are not guaranteed. Carrier volume, weather, customs, border processing, remote-area service, incorrect addresses, and other events outside our control may extend delivery.

Product availability, destination restrictions, taxes, duties, and import charges are governed by the information displayed on the relevant product page and at checkout. Risk of loss and responsibility for lost, damaged, or marked-delivered packages are determined by the order circumstances, carrier review, supporting evidence, and applicable law.

SECTION 6 - RETURNS & REFUNDS

Customers may request a return or exchange for any product within 14 calendar days after delivery.

A product may have been installed or used. Installation or use does not automatically make it ineligible. The product must be complete with all supplied parts and components, in full working condition, free of customer-caused damage, unauthorized modification, tampering, or excessive wear, and safely packaged according to the return instructions we provide.

Return and exchange eligibility is determined by Vusi Studios after inspection, subject to applicable law. Submitting a request or receiving return instructions does not guarantee a refund or exchange.

Customers are responsible for return shipping costs unless we confirm otherwise in writing or applicable law requires otherwise. International returns must be shipped DDP (Delivered Duty Paid), declared as a return of product, and sent according to our return instructions.

If a return passes inspection, we will issue the approved refund immediately to the original payment method. Processing time then depends on the payment provider and the Customer’s bank. For refunds processed through Shopify Payments, it may take up to 10 business days for the Customer to receive the funds.

Damage-on-arrival claims for any product must be reported to support@vusistudios.com within 7 calendar days after delivery. The claim must include the order number, proof of purchase, delivery date, clear photos of the shipping package, product, and damage, and a clear, unedited video when the issue cannot be fully shown in photos.

SECTION 7 - WARRANTY

All Vusi Studios products are covered for 1 year from delivery against verified manufacturing defects in materials or workmanship under normal intended use.

For products requiring installation, warranty eligibility requires compliance with all applicable instructions, warnings, compatibility requirements, tools, components, environmental conditions, preparation steps, placement requirements, electrical requirements, pressure and cure requirements, and use restrictions provided on our instructions page, the individual product page, and in Customer installation emails.

An installation issue is not a manufacturing defect. Warranty coverage does not include installation services, labour, removal, reinstallation, vehicle or surface damage, wiring damage, incorrect fitment, or product damage or loss caused by improper, incomplete, incompatible, or unapproved installation.

Warranty coverage also excludes misuse, mishandling, neglect, abuse, unauthorized modifications or repairs, cosmetic wear, normal wear and tear, external physical damage, and environmental exposure outside the product’s stated rating.

Damage-on-arrival claims must be reported within 7 calendar days after delivery in accordance with the Product Warranty Policy. A manufacturing-defect claim that is not damage on arrival must be submitted within the one-year warranty period with proof of purchase and the requested supporting information.

After review of an eligible claim, we may repair the product, replace the product or affected component with the same or a reasonably equivalent item, or issue a refund. We select the remedy where permitted by law.

SECTION 8 - INTELLECTUAL PROPERTY

All intellectual property rights in the Services and Products—including trademarks, patents, copyrights, trade dress, designs, and proprietary technologies, are owned by Vusi Studios or its licensors.

You are granted a limited, non-transferable, revocable license to use our Services and Products for personal use only. You may not copy, reproduce, modify, reverse-engineer, or resell them without written permission.

All rights not expressly granted are reserved.

SECTION 9 - OPTIONAL TOOLS

We may provide access to tools or features operated by third parties. These are provided “as is” without warranties, and we are not liable for your use of them. Any new features or tools will also be subject to these Terms.

SECTION 10 - THIRD-PARTY LINKS

Our Services may contain links to third-party websites. We are not responsible for the content, policies, or practices of such sites. Accessing them is at your own risk.

SECTION 11 - RELATIONSHIP WITH SHOPIFY

Vusi Studios is powered by Shopify, which provides the e-commerce platform. However, all sales are between you and Vusi Studios. Shopify is not responsible for your purchases, and you release Shopify from all claims related to your transactions with us.

SECTION 12 - PRIVACY POLICY

All personal data is collected and processed in accordance with our Privacy Policy [LINK] and Shopify’s Privacy Policy [LINK]. By using our Services, you consent to these practices.

SECTION 13 - FEEDBACK

By submitting reviews, ideas, or other feedback (“Feedback”), you grant us a perpetual, royalty-free license to use it for any purpose, including marketing. You warrant that you own the rights to your Feedback and that it does not violate third-party rights.

SECTION 14 - ERRORS, INACCURACIES & OMISSIONS

We reserve the right to correct errors or update product information at any time, including after you have placed an order.

SECTION 15 - PROHIBITED USES

You agree not to use the Services for illegal, fraudulent, harmful, or abusive activities, or to interfere with the functionality of our website. We may suspend or terminate accounts that violate these Terms.

SECTION 16 - TERMINATION

We may suspend or terminate your access at any time for violations of these Terms. Sections on Intellectual Property, Returns, Warranty, Limitation of Liability, and Governing Law will survive termination.

SECTION 17 - DISCLAIMER OF WARRANTIES

Except as expressly stated, the Services and Products are provided “as is” without warranties of any kind. Some jurisdictions do not allow disclaimers of implied warranties, so these limitations may not apply to you.

SECTION 18 - LIMITATION OF LIABILITY

To the maximum extent permitted by law, our liability is limited to the purchase price of the Product. We are not responsible for indirect, incidental, or consequential damages arising from your use of our Services or Products.

SECTION 19 - INDEMNIFICATION

You agree to indemnify and hold harmless Vusi Studios, Shopify, and their affiliates, officers, employees, and agents from any claims, damages, or liabilities arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

SECTION 20 - SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

SECTION 21 - WAIVER & ENTIRE AGREEMENT

Failure to enforce any right under these Terms is not a waiver. These Terms, together with referenced policies, constitute the entire agreement between you and Vusi Studios.

SECTION 22 - ASSIGNMENT

You may not assign your rights under these Terms without our prior consent. We may assign or transfer our rights without notice.

SECTION 23 - GOVERNING LAW

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes will be resolved in Ottawa, Ontario, unless otherwise required by law.

SECTION 24 - HEADINGS

Headings are for reference only and do not affect interpretation.

SECTION 25 - CHANGES TO TERMS

We may update these Terms at any time by posting them on our website. Significant changes will be communicated where required by law. Continued use of our Services constitutes acceptance.
